SecureRoomz Terms of Service

Welcome to SecureRoomz. These Terms of Service ("Terms") govern your access to and use of the SecureRoomz platform, websites, applications, APIs, AI features, and related services (collectively, the "Services") provided by SecureRoomz LLC ("SecureRoomz," "we," or "us"). Your privacy is important to us, and your access to the Services is also governed by our Privacy Policy and, where applicable, our Data Processing Addendum (DPA), both of which are incorporated into these Terms by reference.

By creating an account, accessing, or using the Services, you agree to these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Services.

1. The Services

SecureRoomz provides cloud-based collaboration, document management, secure sharing, virtual data room, workflow, communication, compliance, analytics, AI-assisted, and related productivity services. The Services may include secure rooms and workspaces, file storage and sharing, permission and access management, audit and activity tracking, communication tools, integrations and APIs, compliance and governance features, AI-assisted summaries, scoring, analysis, extraction, or automation tools, and additional features introduced over time. Features and functionality may vary significantly by subscription tier, product package, geographic availability, beta status, or administrative configuration.

2. Eligibility and Accounts

You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Services. You are entirely responsible for maintaining the confidentiality of your login credentials, all activity occurring under your account, and ensuring your Authorized Users comply with these Terms. You must promptly notify SecureRoomz of any unauthorized access or suspected security incidents involving your account. If you utilize external identity management tools or Single Sign-On (SSO) configurations to access the platform, you are solely responsible for the security, provisioning, token management, and accurate synchronization of those external user directories. You explicitly agree that you may not impersonate another person or organization, create accounts using false information, share credentials in an unauthorized manner, or attempt to bypass authentication or access restrictions.

3. Customer Content and Ownership

You retain ownership of all files, documents, text, images, data, and other content you upload or submit to the Services ("Customer Content"). You grant SecureRoomz a limited, non-exclusive license to host, store, process, transmit, secure, index, display, back up, and otherwise use Customer Content solely as necessary to provide and operate the Services, maintain platform security, improve system performance and reliability, support authorized platform functionality, comply with legal obligations, and enforce these Terms. SecureRoomz does not claim ownership of your Customer Content.

4. AI Features

The Services may include artificial intelligence, machine learning, automation, and large language model features ("AI Features"). AI Features may provide summaries, classifications, extraction of information, recommendations, scoring, analysis, generated text, or other automated outputs ("AI Outputs"). AI Outputs are generated probabilistically and may contain inaccuracies, omissions, or incorrect conclusions. Accordingly, AI Outputs are provided for informational and productivity purposes only and should not be relied upon as legal, financial, regulatory, medical, or professional advice.

As between you and SecureRoomz, you retain ownership of all AI Outputs generated by your use of the platform. You are solely responsible for reviewing, validating, and approving AI Outputs before relying on or distributing them. SecureRoomz may modify, replace, improve, or discontinue AI Features at any time. SecureRoomz does not use your private Customer Content to train public or shared AI models.

To maintain platform stability, ensure system availability, and protect our private infrastructure, SecureRoomz reserves the right to technically throttle, limit, or temporarily restrict access to AI Features if your account's utilization excessively burdens our underlying system capacity.

5. Acceptable Use

You agree not to use the Services to violate applicable laws or regulations, infringe intellectual property or privacy rights, upload malicious code or harmful material, distribute spam or deceptive content, harass or abuse others, or store or distribute unlawful content. Furthermore, you are strictly prohibited from interfering with platform operations, scraping or harvesting data without authorization, performing unauthorized security or penetration testing, attempting to gain unauthorized access, reverse engineering the Services except where strictly permitted by law, benchmarking or copying the platform for competitive purposes, or overloading and disrupting platform infrastructure. SecureRoomz reserves the right to investigate suspected misuse and may immediately suspend or terminate access to protect the Services, customers, users, or third parties.

6. Copyright Policy and DMCA Notices

SecureRoomz respects the intellectual property rights of others and expects its users to do the same. If you believe that any content hosted on our platform infringes your copyright, you may submit a written takedown notice to our designated copyright agent at legal@secureroomz.com. Your notice must include a physical or electronic signature of the copyright owner, identification of the infringed work, a description of where the material is located on our platform, your contact information, and a statement made under penalty of perjury that the information in your notice is accurate and that you have a good faith belief that the use is unauthorized. SecureRoomz reserves the right to remove infringing content and terminate the accounts of repeat infringers.

7. Security and Customer Responsibilities

SecureRoomz implements commercially reasonable administrative, technical, and organizational safeguards designed to protect Customer Content. However, no cloud platform or internet transmission system can be guaranteed completely secure or uninterrupted. You are responsible for managing your own internal access permissions, protecting endpoint devices and credentials, maintaining your own legal and regulatory compliance obligations, independently retaining backup copies of important materials when appropriate, and ensuring that your use of the Services complies with applicable laws. You acknowledge that SecureRoomz is not responsible for compromised passwords, customer-side phishing, endpoint malware, user configuration mistakes, or unauthorized access resulting from vulnerabilities in your own systems or personnel.

8. Compliance Materials and Guidance

The Services may include compliance rooms, security documentation, questionnaires, certifications, templates, policies, or informational guidance materials. These materials are provided for informational purposes only and do not constitute legal advice, regulatory certification, audit guarantees, or representations that your organization complies with any specific law or framework. You remain solely responsible for determining and meeting your own compliance obligations.

9. Subscription Plans, Billing, and Payments

Certain Services require a paid subscription. By purchasing a subscription, you agree to pay all applicable fees, taxes, overages, add-ons, and recurring charges associated with your selected plan. Unless otherwise stated, subscriptions automatically renew, fees are non-refundable except where required by law, and subscription pricing may change upon renewal with reasonable prior notice. Failure to pay fees may result in the suspension of access, restricted functionality, deletion scheduling, or the outright termination of Services. SecureRoomz may utilize third-party payment processors, and SecureRoomz does not store full payment card information on its own systems.

10. Beta Features

SecureRoomz may offer beta, preview, experimental, or early-access features ("Beta Features"). You acknowledge that Beta Features may be incomplete, may change substantially over time, may contain bugs or interruptions, and are provided strictly on an "as is" and "as available" basis. SecureRoomz may discontinue Beta Features at any time without liability to you or any third party.

11. Availability and Service Changes

SecureRoomz continually evolves the Services. We reserve the right to add, remove, modify, or redesign features, change technical requirements, modify storage or usage limits, update security controls, change supported integrations, or migrate infrastructure providers and subprocessors. We may also perform scheduled or emergency maintenance that temporarily affects platform availability. SecureRoomz does not guarantee uninterrupted or error-free operation of the platform.

12. Third-Party Services

The Services may integrate with or interoperate with third-party products, platforms, software, or services. SecureRoomz is not responsible for third-party services, including their availability, security, privacy practices, functionality, or data handling practices. Your use of third-party services is governed entirely by separate terms between you and those respective providers.

13. Data Retention and Deletion

Upon account termination or expiration, SecureRoomz may retain Customer Content for a limited post-termination period (typically up to ninety days) to allow data export, unless deletion is requested earlier or immediate deletion is required by law. After the applicable retention period, Customer Content may be permanently and irreversibly deleted, and SecureRoomz will not be able to restore deleted data, rooms, permissions, workflows, or environments. Archived backup systems and disaster recovery systems may temporarily retain encrypted residual copies as part of ordinary, automated backup cycles. SecureRoomz is not obligated to reconstruct, recreate, or restore prior platform states or deleted environments.

14. Disaster Recovery and Business Continuity

SecureRoomz maintains a formal disaster recovery and business continuity protocol designed to minimize platform downtime and data loss in the event of a critical infrastructure failure. We employ redundant data storage configurations and regular system backups. While we strive to ensure rapid recovery and service continuity, you acknowledge that these protocols do not absolute-guarantee immediate restoration and do not alleviate your responsibility to maintain independent copies of critical business records.

15. Intellectual Property

SecureRoomz and its licensors retain all rights, title, and interest in and to the Services, including all software, interfaces, workflows, AI systems, designs, branding, documentation, and platform technology. Except for the limited access rights expressly granted in these Terms, no rights, titles, or interests are transferred to you.

16. Intellectual Property Warranty

SecureRoomz warrants that, to our knowledge, the underlying platform, software, and technology used to provide the Services do not infringe upon the valid intellectual property rights of any third party. If a claim arises alleging that your authorized use of the platform infringes a third-party copyright, patent, or trade secret, SecureRoomz will manage the platform's defense and technical modifications, provided that you have used the Services in strict compliance with these Terms.

17. Confidentiality

SecureRoomz will use reasonable administrative and technical measures to protect the confidentiality of Customer Content and will limit internal access strictly to personnel and subprocessors with a legitimate operational need for access. However, SecureRoomz may disclose such information when required by law, to comply with valid legal processes, to enforce these Terms, or to protect the rights, safety, or security of SecureRoomz, our customers, users, or the general public.

18. Disclaimer of Warranties

THE SERVICES, AI FEATURES, BETA FEATURES, DOCUMENTATION, AND ALL RELATED FUNCTIONALITY ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUREROOMZ DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. SECUREROOMZ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE FROM HARMFUL COMPONENTS.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SECUREROOMZ SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF DATA, OR LOSS OF GOODWILL. THE TOTAL AGGREGATE LIABILITY OF SECUREROOMZ ARISING OUT OF OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNTS ACTUALLY PAID BY YOU TO SECUREROOMZ DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

20. Indemnification

You agree to defend, indemnify, and hold harmless SecureRoomz and its officers, employees, affiliates, contractors, and licensors from claims, liabilities, damages, losses, and expenses arising from your use of the Services (explicitly excluding third-party intellectual property infringement claims managed by SecureRoomz under Section 15), your Customer Content, your violation of these Terms, or your violation of applicable laws or third-party rights.

21. Suspension and Termination

SecureRoomz may suspend or terminate access to the Services if you violate these Terms, payment obligations are not met, your use creates a security or operational risk, or continued access may expose SecureRoomz or others to legal liability. You may stop using the Services at any time. Termination does not eliminate or suspend outstanding payment obligations incurred before the date of termination.

22. Export Controls and Sanctions

You may not use the Services in violation of applicable export control laws, sanctions regulations, or trade restrictions. You represent and warrant that you are not prohibited from using the Services under applicable local or international laws.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, except that either party may seek injunctive relief for misuse of intellectual property, unauthorized access, or confidentiality violations.

YOU AND SECUREROOMZ AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and SecureRoomz agree otherwise, the arbitrator may not consolidate more than one person's claims with your claims, and may not otherwise preside over any form of a representative or class proceeding.

24. Changes to These Terms

SecureRoomz may update these Terms from time to time. If material changes are made, SecureRoomz will provide reasonable notice through the platform dashboard, via email, or by other appropriate communication means. Continued use of the Services after updated Terms become effective constitutes your explicit acceptance of the revised Terms.

25. General Terms

These Terms constitute the complete agreement between you and SecureRoomz regarding the Services and supersede all prior discussions, negotiations, or understandings relating to the Services; provided, however, that if your organization has executed a separate signed Master Software-as-a-Service Agreement (MSA) or Order Form with SecureRoomz, that signed agreement shall govern and take absolute precedence over these Terms in the event of any conflict. If any provision is found unenforceable by a court or arbitrator, the remaining provisions will remain in full force and effect. Failure to enforce any provision of these Terms is not a waiver of that provision or the right to enforce it later. SecureRoomz may freely assign these Terms in connection with a merger, acquisition, corporate reorganization, or sale of assets.
