Thank you for using SecureRoomz!

These Terms of Service ("Terms") govern your access to and use of SecureRoomz's websites, software, and related services ("Services"). By using our Services, you agree to these Terms, as well as our Privacy Policy and Acceptable Use Policy.

1. Your Data & Permissions

When you use our Services, you may upload or share content, including documents, files, data, images, or other materials ("Your Data"). You retain full ownership of Your Data. These Terms do not grant SecureRoomz ownership of Your Data.

To provide the Services, you grant SecureRoomz and its service providers permission to host, process, back up, organize, and display Your Data within your rooms. This includes operational activities such as indexing, metadata tagging, version tracking, and permission-based sharing.

2. Use of Services

You may use the Services only for lawful purposes related to collaboration, file organization, and document management.

You agree that:

You have all necessary rights to upload and share Your Data;
You will not upload content that infringes on others' intellectual property or privacy;
You are responsible for maintaining the confidentiality of your account credentials and all activity under your account;
You will not attempt to bypass or disable platform security, introduce malware, or engage in deceptive or unauthorized access to rooms or files.

We may review or monitor content to ensure compliance with these Terms but are not obligated to do so.

3. Data Confidentiality & Security

SecureRoomz uses commercially reasonable safeguards to protect Your Data, including encryption in transit and at rest, access controls, and activity logging.

We recommend that you:

Avoid storing unnecessary sensitive personal information (such as social security numbers);
Keep your credentials secure;
Notify us promptly of any unauthorized access.

SecureRoomz may use third-party hosting and infrastructure providers to support platform performance and storage.

4. Data Retention & Deletion

Your Data remains available while your account or room is active. When you permanently delete files or archive a room, those materials are retained for 90 days by default before being permanently removed.

Organizations may upload their own document retention policies. Once approved by SecureRoomz, the terms of the approved policy will govern retention for that organization’s rooms.

5. Subscriptions & Billing

All subscriptions are subject to the pricing and billing terms displayed at the time of purchase or renewal. Late or unpaid invoices may result in suspension of Services until the account is brought current.

Basic and Pro subscriptions are managed through Stripe.
Smart Room subscriptions are billed directly by SecureRoomz through QuickBooks invoices.

6. Ownership of SecureRoomz Materials

All software, features, branding, and documentation provided by SecureRoomz (excluding Your Data) are the property of SecureRoomz or its licensors. You may not copy, modify, reverse-engineer, distribute, or resell any part of the Services. Automated scraping or data mining is prohibited.

7. Beta or Experimental Features

From time to time, SecureRoomz may offer early-access or test features. These are provided "as-is," may change or be discontinued at any time, and are excluded from any warranties or service guarantees.

8. Termination & Access Suspension

We may suspend or terminate your access if:

You violate these Terms or applicable law;
Your use poses security, operational, or legal risks;
You have no active product or subscription; or
Your account is inactive for 12 months or more.

You may terminate your use at any time. When feasible, we will provide notice before discontinuing Services and an opportunity to export Your Data.

Upon termination, Your Data may remain in our backups for up to 90 days (or for the duration of an approved retention policy).

9. No Warranty

The Services are provided "as is" and "as available." SecureRoomz does not guarantee uninterrupted, error-free operation or compatibility with your specific systems. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, SecureRoomz and its affiliates are not liable for:

Indirect, incidental, special, or consequential damages;
Loss of profits, revenue, data, or business; or
Any claim exceeding the total amount paid by you to SecureRoomz in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow these limitations, so they may not apply to you.

11. Dispute Resolution

For users located in the United States, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA). You agree to waive any right to participate in a class action. Exceptions include intellectual property disputes or small claims matters.

12. Governing Law

These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles, unless otherwise required by consumer protection laws in your jurisdiction.

13. Changes to These Terms

We may update these Terms for legal, operational, or product-related reasons. When updates are made, we will provide reasonable notice before they take effect. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
